The main difference between DB2 and DB2 UDB is that DB2 UDB has open DBMS connectivity to other open systems. I.e., though on a mainframe system, it can connect to Java, Unix and a variety of other open systems.

DB2 UDB provides graphical administration,
Java and JDBC support.
DB2 UDB runs on mainframes,
Windows NT/2000 and various versions of Unix.

Hope this helps.
